In these general terms and conditions, Rightspirits.com refers to the private limited company:

Applicability
These general terms and conditions apply to all offers, orders, and agreements of Rightspirits.com. Accepting an offer or placing an order implies that the buyer accepts the applicability of these terms and conditions.
Any deviations from these terms and conditions must be agreed upon in writing, in which case the remaining provisions remain in full force.
All rights and claims stipulated in these General Terms and Conditions and any further agreements for Rightspirits.com are stipulated for intermediaries and other third parties engaged by Rightspirits.com.
If any provision of these General Terms and Conditions is void, nullified or unenforceable, this does not affect the validity of the other provisions of these terms and conditions or the agreement.
Offers and Agreements
All offers from Rightspirits.com are without obligation, and Rightspirits.com expressly reserves the right to change prices, particularly when required by (legal) regulations.
An agreement is only concluded after your order is accepted by Rightspirits.com. Rightspirits.com is entitled to refuse orders or attach certain conditions to the delivery unless expressly stated otherwise.
If an order is not accepted, Rightspirits.com will inform you within 24 hours after receiving the order.
Offers are subject to the availability of products as shown at the time of ordering on Rightspirits.com. Typographical errors are always reserved.
Billing
The agreement between Rightspirits.com and the buyer is established when the buyer has fully completed the steps of the ordering procedure on Rightspirits.com and has therefore sent all the required information to Rightspirits.com.
After Rightspirits.com receives the fully completed digital order form, the agreement between Rightspirits.com and the buyer is irrevocable and cannot be dissolved by the buyer.
Rightspirits.com reserves the right to terminate the agreement with the buyer within 24 hours of its establishment, without any obligation to pay any compensation.
After the agreement is established, Rightspirits.com will prepare an invoice within 24 hours and send it as a PDF file by email to the buyer, which is explicitly accepted by the buyer.
Prices and Payments
Rightspirits.com cannot be held liable for discrepancies in prices, images, and texts of products as displayed and stated on Rightspirits.com.
The prices of the products as stated on Rightspirits.com are exclusive of VAT and exclusive of any shipping costs.
If the payment term is exceeded, the buyer is in default from the day that payment should have taken place and owes a default interest of 1% per month or part of a month on the outstanding amount from that day. If payment takes place after a reminder by Rightspirits.com, you owe an amount of ten euros (EUR 10.00) in administration costs, and if Rightspirits.com outsources its claim for collection, the buyer is also liable for the collection costs, which are at least fifteen percent (15%) of the outstanding amount, without prejudice to the right of Rightspirits.com to claim the actual extrajudicial collection costs instead.
If the buyer is in default with any payment, Rightspirits.com is entitled to suspend or dissolve the relevant agreement and related agreements.
Shipping Costs
The buyer owes a contribution to the shipping costs for making the order ready for shipment, checking, transporting, and delivering an order. These shipping costs within the Netherlands amount to EUR 12.50 for orders up to EUR 495.00 excluding VAT.
The shipping costs within Belgium amount to EUR 17.50 for orders up to EUR 495.00 excluding VAT.
No shipping costs are charged for orders that exceed the aforementioned amount.
Delivery and Delivery Time
Rightspirits.com sells its products exclusively to businesses registered in the Netherlands Chamber of Commerce or in the Belgian Crossroads Bank for Enterprises.
Rightspirits.com does not sell to individuals.
If the buyer places an order, the relevant order will be delivered within 48 hours to the delivery address specified by the buyer.
Rightspirits.com delivers ordered products within the Netherlands and Belgium.
The delivery times stated by Rightspirits.com are indicative only. Exceeding any delivery period does not entitle you to compensation nor the right to cancel your order or dissolve the agreement, unless the delay is such that it is unreasonable to expect the buyer to maintain the agreement. In that case, the buyer is entitled to cancel the order or dissolve the agreement to the extent necessary.
The delivery of the products takes place at the location and time at which the products are ready for shipment to you. Rightspirits.com is entitled to deliver the products ordered by the buyer in parts. Any additional costs associated with partial deliveries are borne by Rightspirits.com.
The products ordered by the buyer are delivered by an external carrier to the delivery address specified by the buyer. If no one is present to receive the products at the time of delivery, the carrier will re-attempt delivery free of charge at a later time and/or contact the buyer to make a new delivery appointment.
Force Majeure
Without prejudice to its other rights, in case of force majeure, Rightspirits.com has the right, at its own discretion, to suspend the execution of your order, or to dissolve the agreement without judicial intervention, by notifying the buyer in writing and without Rightspirits.com being liable for any damages, unless this would be unacceptable under the standards of reasonableness and fairness under the given circumstances.
Force majeure is understood to mean any shortcoming which cannot be attributed to Rightspirits.com, because it is not due to her fault, and it is not for her account under the law, legal act or generally accepted practice.
Retention of Title
Ownership of delivered products transfers only when the buyer has fulfilled all obligations under any agreement with Rightspirits.com. The risk concerning the products transfers to the buyer at the time of delivery.
Complaints and Compliance
If Rightspirits.com delivers incorrect or the incorrect number of products, the buyer must inform Rightspirits.com of this within 24 hours after delivery. Incorrectly delivered products will be exchanged or collected free of charge by Rightspirits.com within 5 working days, provided that the products have not been opened and are in the original packaging.
Rightspirits.com will promptly and freely supply inadvertently undelivered products.
If the buyer receives a broken product, the buyer must immediately notify Rightspirits.com by email and must prove this with clear photos. After receipt and approval, Rightspirits.com will resupply the product in question as soon as possible free of charge. Rightspirits.com is at all times entitled to check the breakage claimed by the buyer on site.
If the buyer does not immediately report inaccuracies in the delivery after receiving the order as described above, the delivery will be considered complete and correct, and the buyer's rights as mentioned in the aforementioned articles will expire.
Unless otherwise agreed, all deliveries are handled through external carriers engaged by Rightspirits.com.
Liability and Compensation
Rightspirits.com can only be held liable for damage that can be attributed to her intent or gross negligence, or that arises from circumstances that, according to mandatory legal rules, are at her risk.
Force majeure situations that in any case do not come at the risk of Rightspirits.com include, among other things, illness, import, export and/or transit bans, transport problems, non-timely or defective performance of obligations by suppliers or carriers, and production failures.
Rightspirits.com cannot be held liable for damage to third parties and the buyer indemnifies Rightspirits.com against any claims for damages from third parties.
Rightspirits.com can also not be held liable for damage caused by external carriers engaged by Rightspirits.com.
Rightspirits.com is never obliged to compensate for damage other than property and/or personal injury.
Dutch law exclusively applies to all rights, obligations, offers, orders, and agreements to which these General Terms and Conditions apply, as well as to these General Terms and Conditions.
All disputes between the parties will be submitted exclusively to the competent court in the Netherlands.
